Little Soles is the parent-to-parent marketplace for kids' shoes, operated by Firmware Foundation Studios. Available in the United States only. By making an account, you agree to these terms.
Little Soles is a place where parents in the United States buy and sell gently used kids' shoes from each other. We run the app. We do not own the shoes, and we are not the seller. The deal is between the buyer and the seller. We provide the venue and the payment flow, and we back the deal with LS Protect.

A few words mean something specific in this agreement.
Little Soles is for adults. You must be a parent or guardian, 18 or older, able to enter a binding contract, and located in the United States.
We can refuse or close an account if the information is fake or the rules get broken.
Little Soles is a venue. Think of us like the building where a market happens, not the people selling at the tables.
We do not inspect every pair before it ships. We do not take ownership of any item. We are not a party to the sale itself. The contract to buy and sell is between the buyer and the seller.
Money movement. Little Soles is a payment facilitator, not a money transmitter. We do not take your money into our own bank account and then pay sellers from it. All buyer funds are handled by Stripe, our licensed payment processor. Stripe holds the funds and moves them to sellers through Stripe Connect. This is how the payment flow stays compliant. See Section 7.
When you sign up you give us your name and email, and you set a login. You agree to keep that information accurate. How we collect and use your data, including the shoe sizes and nicknames a parent enters for a child, is covered in our Privacy Policy, which is part of these terms by reference.
If you sell, your listing has to be honest. This is the heart of the whole thing.
We never call an item "verified," "certified," or "authenticated." Those words do not appear on Little Soles. We back the deal through LS Protect, and we describe condition with our own grades, nothing more.
If a listing is wrong, the buyer can file an LS Protect claim. See Section 9.
Payments run through Stripe. Stripe holds the buyer's payment and later moves the seller's share through Stripe Connect. We do not store your full card details. Stripe's own terms and privacy policy apply to all payments you make or receive, in addition to these terms.

The escrow flow, step by step.
If a payment fails or is reversed, we can pause the order and hold funds while we sort it out.
Buyers make offers. Sellers accept, decline, or counter.
Do not take a deal off the app. If you arrange payment outside Little Soles, you lose LS Protect, and we cannot help you if something goes wrong.
LS Protect is our promise. If the shoes show up and they are not what the listing said, you are covered. LS Protect is the claim and refund flow described here. It is not an insurance policy and it is not a guarantee beyond what is written below.

The 5-day buyback window
You may report a problem and request a refund only within 5 days after delivery is confirmed. Delivery is confirmed when the buyer marks the order received, or when tracking shows delivered, whichever Little Soles records first. Once the 5-day window closes, the order is final. No refund, return, or buyback is available through Little Soles after that, for any reason.
How to file a claim
Seller response and complaints
When a buyer opens a claim inside the window, we hold the seller's payout while we review. We notify the seller and may ask for their side, including photos and tracking. The seller may submit a response and evidence before we decide. We make the final decision on every claim in our sole discretion, and there is no appeal beyond that decision.
A seller may also report a buyer's claim as false or made in bad faith. If we agree, we may deny the claim, release the held payout to the seller, and take enforcement action on the buyer under Sections 11 through 17.
While a claim is open or under review, the seller's payout is held and does not move. If the claim is upheld, the buyer is refunded and the seller's payout for that order does not release. If you do not file within 5 days, the order is final when the claim window closes and the seller gets paid.
We make the final call on claims. We try to be fair to both the parent buying and the parent selling.
Little Soles is not a store with a general return policy. There are no "changed my mind" returns.
Returns happen through LS Protect, and only when an item is not as described or never showed up. See Section 9. Outside of an approved LS Protect claim, sales are final.
Keep it to kids' shoes, and keep it clean. This is the line. Cross it and we act.

This list is not exhaustive. Any conduct we determine in our sole discretion to be fraudulent, deceptive, abusive, or a threat to the safety of the marketplace is prohibited, whether or not it is named above.
We police this marketplace, and we have the final say.
A seller's payout is never guaranteed until it clears and is paid. We control the money flow to protect buyers and the marketplace.
If we determine, in our sole discretion, that an order, account, or seller is connected to fraud, a scam, non-delivery, misrepresentation, a counterfeit, a chargeback or dispute, or any prohibited conduct, we may do any of the following, in any combination, with or without notice:
Where a buyer was harmed, we may use withheld or recovered funds to refund that buyer. A forfeited or recovered payout is not a fee we keep for profit. It is the seller's loss of the right to be paid on a deal they corrupted, and a source we may use to make a defrauded buyer whole and to cover our resulting costs.
These payout powers are in addition to the ordinary escrow holds and claim mechanics in Sections 7 and 9, and in addition to every other remedy in these terms.
We decide who gets to be here.
We may, in our sole discretion, with or without notice and with or without cause stated, take any of these actions against any buyer or seller we believe is engaged in fraud, foul play, or any violation of these terms:
A banned user is done. You may not create a new account, and you may not use someone else's account, to get back on Little Soles after a ban or suspension. We may block new accounts that we link to a banned user by name, email, device, address, or payment method, and we may cancel deals and forfeit funds tied to a ban-evading account.
When we act in good faith to protect buyers, sellers, and the marketplace from fraud or abuse, we are not liable to you for that action. To the fullest extent the law allows, we have no liability to you for withholding, delaying, reversing, offsetting, forfeiting, or clawing back a payout; for suspending, restricting, banning, or terminating an account; for removing a listing or canceling an order; or for any other enforcement step taken under these terms. These actions are part of the deal you agree to by using Little Soles.
We recover our losses. If your fraudulent, abusive, or otherwise prohibited conduct causes us a loss or a cost, we reserve every legal and equitable remedy available to us. We may recover from you the amounts we lose or refund to others, our costs of investigating and responding, chargeback and dispute fees, and our reasonable attorney fees and costs of collection, to the fullest extent the law allows.
You indemnify us. You agree to release, indemnify, defend, and hold harmless Little Soles, Firmware Foundation Studios, and our owners, officers, employees, and agents from any claims, demands, losses, liabilities, and expenses, including reasonable attorney fees, arising out of or relating to your conduct on Little Soles, your breach of these terms, your violation of any law or any rights of another, any item you list or buy, or any fraud or abuse you commit.
We report fraud. Where we believe it is warranted, we may report fraudulent or criminal conduct, and share the related account and transaction information, to law enforcement, card networks, Stripe, and other parties with a legitimate interest, as allowed by law and our Privacy Policy.
Our enforcement decisions, including claim outcomes, payout forfeitures, and bans, are final and made in our sole discretion. We are under no obligation to mediate, arbitrate between users, or referee a dispute between a buyer and a seller, and we are not the judge of the contract between them beyond the LS Protect flow and the enforcement powers in these terms. Nothing here limits any right or remedy we have at law or in equity, all of which we expressly reserve.
You can close and delete your account anytime. Finish any open deals first.
We can suspend or close an account if you break these terms, if there is fraud, or if your behavior puts other parents at risk, on the terms set out in Sections 11 through 17. We will try to deal with any open orders and refunds fairly when we do, but a forfeited or held payout under those sections stays held or forfeited.

If we have a disagreement, let's try to fix it directly first. Reach out to support and give us a real chance to make it right.
If we cannot resolve it directly, any dispute arising out of or relating to these terms or the app will be handled in the courts identified in the Governing law section below.
These terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in Pinellas County, Florida, and you consent to their jurisdiction.
We may update these terms as Little Soles grows. If we make a real change, we will let you know in the app or by email. Keep using Little Soles after a change and that means you accept the new terms.
